Hosting terms & conditions

These terms and conditions are active per start of a hosting plan with Jacobs Development BV

Article 1. Definitions

  1. The Service Provider: Jacobs Development BV.
  2. The Client: any natural or legal person who purchases hosting services from the Service Provider.
  3. Hosting Services: making available server space, network connections, storage, and related facilities, as specified in Annex A.
  4. Site Files: all files, code, images, databases, and data required for the Client’s website.
  5. Content: all content (texts, images, data, etc.) placed on the hosted website by the Client or third parties.

Article 2. Applicability

  1. These General Terms and Conditions apply to all agreements, offers, and services related to hosting, unless agreed otherwise in writing.
  2. Deviations from these conditions are only valid if agreed in writing.

Article 3. Services

  1. The Service Provider delivers Hosting Services as described in Annex A.
  2. The Service Provider is not the owner of the website or the Content. All rights remain with the Client.
  3. The Service Provider is not responsible for the content of hosted websites and accepts no liability for claims related to the Content.

Article 4. Prices and Payment

  1. The costs for hosting are:
    • €25 per month excl. VAT, or
    • €250 per year excl. VAT.
  2. Payment must be made within 30 days of the invoice date, unless agreed otherwise in writing.
  3. The first payment must be made at the start of the hosting.
  4. In case of late payment, the Service Provider may suspend the service until payment is received.

Article 5. Contract Term and Termination

  1. Hosting Services are entered into for a period of one month or one year, depending on the chosen billing cycle.
  2. The Client may terminate the agreement with one month’s notice prior to the end of the current term.
  3. Upon termination, the website will be taken offline and the Service Provider will, within 30 days, return the Site Files to the Client in a commonly used format.

Article 6. Availability and Maintenance

  1. The Service Provider strives for an uptime of 99.5% per month, excluding scheduled maintenance.
  2. Maintenance work will be announced at least 24 hours in advance, unless urgent.

Article 7. Liability

  1. The Service Provider is not liable for damages caused by service outages, data loss, or issues with the Content, unless due to intent or gross negligence.
  2. The Service Provider’s liability is limited to the amount paid by the Client in the last three months.
  3. The Client indemnifies the Service Provider against third-party claims related to the Content.

Article 8. Data, Backups, and Security

  1. The Service Provider makes daily backups of Site Files and databases.
  2. The Client is responsible for verifying the integrity of backups.
  3. The Service Provider will take reasonable technical measures to secure the hosting environment.

Article 9. Privacy and Data Protection

  1. If personal data is processed via the hosting services, the Client is responsible for compliance with the GDPR.
  2. The Client must ensure a proper privacy policy and obtain necessary visitor consent.
  3. The Service Provider will take appropriate measures to protect personal data but is not responsible for the Client’s compliance obligations.

Article 10. Force Majeure

  1. The Service Provider is not liable for damages caused by force majeure, including supplier failures, network issues, natural disasters, or cyberattacks.
  2. In case of force majeure, obligations are suspended for as long as the force majeure continues.

Article 11. Changes to Services

  1. The Service Provider may change services, prices, or conditions. Changes will be announced at least 30 days in advance.
  2. If a change results in a significant deterioration for the Client, the Client may terminate the agreement within 14 days of the announcement.

Article 12. Confidentiality

  1. Both parties undertake to keep all confidential information received from each other strictly confidential.

Article 13. Governing Law and Disputes

  1. These terms are governed by Dutch law.
  2. Disputes shall be submitted to the competent court in The Hague.
